Agreement to Terms

These Terms of Service ("Terms", "Agreement") govern your access to and use of the websites, services, and platforms provided by Null Space Productions ("NSP", "we", "us", or "our"), a corporate holding company and parent entity of Null World Productions (NWP), Null World Trading (NWT), and Null World Entertainment (NWE) (collectively, the "Divisions").

By accessing or using our websites, engaging with our services, or interacting with any of our Divisions, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access or use our services.

Scope and Applicability

These Terms apply to:

• Websites, platforms, and services operated by our Divisions (NWP, NWT, NWE)
• Any business relationships, communications, or transactions with NSP or its Divisions
• Any other services or platforms where these Terms are referenced

Individual Divisions may have supplementary terms and conditions specific to their services. Those additional terms should be read in conjunction with these Terms and will govern in the event of a conflict as they relate to Division-specific services.

Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

If you create an account on any of our platforms, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities conducted through your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

Intellectual Property Rights

The content, features, and functionality of our websites and services, including but not limited to text, graphics, logos, images, videos, software, designs, and compilations, are the exclusive property of Null Space Productions, its Divisions, or its licensors, and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos (including "Null Space Productions", "NSP", "Null World Productions", "NWP", "Null World Trading", "NWT", "Null World Entertainment", and "NWE") may not be used without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license to use our services as expressly permitted by these Terms.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or internal business purposes. This license does not include any right to:

• Reproduce, distribute, modify, or create derivative works from our content
• Use our services for commercial purposes without authorization
• Decompile, reverse engineer, or attempt to extract source code from our software or systems

User-Generated Content

If you submit, post, upload, or transmit any content, materials, information, or communications ("User Content") to our websites or services, you represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to use and authorize us to use the User Content
• The User Content does not violate any intellectual property rights, privacy rights, or other rights of any third party
• The User Content does not contain any unlawful, defamatory, obscene, or objectionable material

By submitting User Content, you grant NSP and its Divisions a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with our services and business operations, including for promotional and marketing purposes.

We reserve the right (but are not obligated) to monitor, review, modify, or remove User Content that violates these Terms or is otherwise objectionable, without notice.

Services and Availability

We strive to maintain the availability and functionality of our services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any aspect of our services at any time, with or without notice, for any reason including:

• Maintenance, updates, or improvements
• Technical, security, or operational issues
• Changes in business strategy or service offerings
• Legal or regulatory requirements

We are not liable for any loss or damage arising from service interruptions, modifications, or discontinuations.

Third-Party Services and Links

Our websites and services may contain links to third-party websites, applications, services, or resources that are not owned, controlled, or operated by NSP or its Divisions. We provide these links for your convenience but do not endorse or assume responsibility for:

• The content, accuracy, or reliability of third-party websites or services

Your use of third-party services is at your own risk and subject to the terms and policies of those third parties. We encourage you to review the terms and privacy policies of any third-party services you access.

Payment and Fees

Certain services offered by NSP or its Divisions may require payment of fees. If you engage such services:

• You agree to pay all applicable fees as described at the time of purchase or as set forth in a separate agreement

Payment processing is handled by third-party payment processors. By providing payment information, you agree to their terms and policies. We do not store complete payment card information on our servers.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

NSP and its Divisions do not warrant that:

• Our services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our services will be accurate, complete, or reliable
• Any errors, defects, or vulnerabilities in our services will be corrected
• Our services are free of viruses, malware, or other harmful components
• Information or content provided through our services is current, accurate, or complete

No advice or information, whether oral or written, obtained from us or through our services will create any warranty not expressly stated in these Terms.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NULL SPACE PRODUCTIONS, ITS DIVISIONS (NWP, NWT, NWE), OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Loss of use, goodwill, or other intangible losses
• Personal injury or property damage resulting from your access to or use of our services
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on our services

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

In any case, our total aggregate liability to you for all claims arising from or related to these Terms or your use of our services shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Null Space Productions, its Divisions (NWP, NWT, NWE), and their respective officers, directors, employees, agents, affiliates, successors, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of our services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights
• Any User Content you submit or transmit through our services
• Your negligence, willful misconduct, or fraud

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense of such claims.

Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of our services (collectively, "Disputes") shall be resolved as follows:

Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@nullspaceproductions.com to attempt to resolve the Dispute informally. We will attempt to resolve the Dispute in good faith within sixty (60) days.

Arbitration Agreement

If informal resolution is unsuccessful, you and NSP agree that any Disputes shall be resolved exclusively through binding arbitration in accordance with the rules of a recognized arbitration organization. The arbitration shall be conducted in the English language, and judgment on the arbitration award may be entered in any court having jurisdiction.

CLASS ACTION WAIVER: YOU AND NSP AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. NEITHER YOU NOR NSP MAY PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION FOR ANY CLAIMS COVERED BY THESE TERMS.

Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in [Jurisdiction], and you consent to the personal jurisdiction of such courts.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

• Breach of these Terms
• Violation of applicable laws or regulations
• Fraudulent, abusive, or illegal activity
• At our sole discretion for any business, legal, or operational reason

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

You may terminate your account at any time by discontinuing use of our services and, where applicable, following the account closure procedures provided on our platforms.

Modifications to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. Changes may be made to reflect:

• Changes in our business practices or service offerings
• Legal, regulatory, or compliance requirements
• Security, technical, or operational considerations
• Feedback from users or stakeholders

We will provide notice of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to the email address associated with your account (if applicable)
• Providing prominent notice on our websites or through other appropriate communication channels

Your continued access to or use of our services after the effective date of the updated Terms constitutes your acceptance of and agreement to be bound by the changes. If you do not agree to the modified Terms, you must discontinue use of our services.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provisions, which shall remain in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate these Terms or any rights or obligations hereunder without restriction, including to any of our Divisions, affiliates, successors, or assigns in connection with a merger, acquisition, reorganization, or sale of assets.

Entire Agreement

These Terms, together with our Privacy Policy and any supplementary terms specific to individual services, constitute the entire agreement between you and NSP regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
